Version 5: Terms of Service

Version 5 — Effective June 29, 2026

1. Acceptance of Terms
By accessing or using musiciansXchange ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. We may update these Terms from time to time. When we make material changes, you will be required to review and agree to the updated Terms before continuing to use the Service.

2. Eligibility
You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you are at least 18 years of age and that all registration information you provide is truthful and accurate.

3. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating your account, including your real name, mailing address, and phone number. You agree to notify us immediately of any unauthorized use of your account.

4. Content Ownership & Licensing
You retain full ownership of all content you upload to the Service, including audio files, stems, mixes, and any other creative works ("Your Content"). By uploading Your Content, you grant musiciansXchange a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, and display Your Content solely for the purpose of operating and providing the Service. This license terminates when you delete Your Content from the Service.

musiciansXchange does not claim ownership of Your Content and will never sell, sublicense, or commercially exploit Your Content without your explicit written consent.

5. Copyright & Intellectual Property
You represent and warrant that you have the right to upload all content you share on the Service and that Your Content does not infringe on the intellectual property rights of any third party. We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). We will respond to valid takedown notices and may terminate accounts of repeat infringers.

musiciansXchange maintains audit logs of all file downloads for copyright protection purposes. We collect mailing addresses and phone numbers so that we can contact users in connection with copyright or intellectual property concerns.

6. Collaborations
The Service facilitates collaboration between music creators. Ownership and rights to collaborative works are determined by the participants involved. musiciansXchange is not a party to any collaboration agreement between users and does not mediate disputes regarding creative contributions, credits, or revenue sharing. We encourage collaborators to establish clear agreements regarding ownership and rights before beginning work together.

7. Third-Party Publishing & Revenue
musiciansXchange does not handle, manage, or mediate profit sharing, revenue splits, or royalty distribution for works published to third-party platforms including but not limited to Spotify, Apple Music, Amazon Music, YouTube Music, or any other distribution service. The platform provides collaboration data (participants, credits, contribution history) that may be used by participants and their legal representatives, but musiciansXchange assumes no responsibility for revenue agreements between collaborators.

8. Prohibited Conduct
You agree not to:
- Upload content you do not have the right to share, including unauthorized samples or loops sourced from copyrighted recordings, cover recordings of copyrighted compositions without proper mechanical licensing, stream-ripped audio extracted from streaming services, pirated or leaked commercial recordings, or audio captured from films, television, video games, or other protected works without license
- Use the Service to enable the copying, redistribution, or resale of third-party copyrighted material
- Upload malware, viruses, or harmful code disguised as audio files
- Use the Service to harass, abuse, or threaten other users
- Create multiple accounts to circumvent bans or restrictions
- Scrape, crawl, or collect data from the Service without permission
- Attempt to gain unauthorized access to the Service or other users' accounts
- Use the Service for any illegal purpose
- Provide false or misleading account information

9. Termination & Suspension
We may suspend or terminate your account at our discretion if we believe you have violated these Terms. You may delete your account at any time. Upon suspension or termination, your access to the Service ceases immediately. If you hold an active paid subscription at the time of suspension or termination, your subscription will be canceled at the end of your then-current billing period: your access does not resume, you will not be charged for any subsequent period, and fees already paid are not refunded. Reinstating a canceled subscription requires a new purchase. We may retain certain data as required by law or for legitimate business purposes (e.g., audit logs for copyright protection).

10. Disclaimers & Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, musiciansXchange shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses resulting from your use of the Service.

11. Changes to These Terms
We may revise these Terms at any time. If we make material changes, we will notify you through the Service and you will be required to review and agree to the updated Terms before continuing to use the Service.

12. Operating Company
musiciansXchange is a registered trade name of CPC Technology Solutions LLC, 5 Whitegate Rd, Succasunna, NJ 07876, USA. References to "musiciansXchange," "we," "us," or "our" in these Terms refer to CPC Technology Solutions LLC.

13. Service Scope
musiciansXchange is a Software-as-a-Service (SaaS) subscription product that provides collaboration and version-control tools for music creators. Subscription fees grant access to the platform and its software features only. The Service does not, and does not purport to:
- Process user-to-user payments or facilitate any financial transaction between users
- Operate as a digital marketplace, services marketplace, gig platform, or job board
- Distribute royalties or process licensing payments on behalf of users
- Sell, license, or otherwise commercially distribute user-uploaded music to third parties
- Operate as a music streaming service or audio download store
- Represent users in any commercial, legal, or contractual capacity

All revenue, licensing, and rights agreements between users remain solely the responsibility of those users.

14. Payment Processing
Payments for paid subscriptions are processed by Stripe, Inc. and its affiliates ("Stripe"), our third-party payment processor. musiciansXchange (a registered trade name of CPC Technology Solutions LLC) is the merchant and seller of record for all subscription purchases; your purchase contract is with us, not with Stripe. We are responsible for customer service, billing inquiries, and refunds, which are governed by our Refund Policy, available at https://musiciansxchange.com/legal/refund. Applicable taxes are calculated and added at checkout. Paid subscriptions are currently available to customers in the United States only. Your full card details are entered directly with Stripe and are not received or stored by us; Stripe's handling of your payment information is governed by Stripe's Privacy Policy and terms. Charges may appear on your statement as "MUSICIANSXCHANGE" or similar.

15. Free Member Tier, Subscriptions & Automatic Renewal
The Service offers a permanent free Member tier at no charge ("Free Member"). A Free Member account includes: a discoverable public profile; the ability to join collaborations hosted by other users, including public collaborations, without limit; commenting and feedback; in-collaboration chat and presence; one (1) private collaboration that you own and host; and 2 GB storage. Free Member accounts may not host public collaborations — hosting public collaborations requires a paid subscription. Free Member storage and owned-private-collaboration limits are as described on our Pricing page and may be adjusted with reasonable notice.

When you verify your account (by confirming your email address or by signing up through a supported third-party sign-in provider), it becomes a Free Member account with the capabilities and limits described above, at no charge, with no time limit, and no payment method required. There is no trial period, and you are never locked out of the Service. Actions that exceed Free Member limits (for example, hosting more than your one private collaboration, hosting public collaborations, or uploading files beyond your free storage allowance) require a paid plan. Your Content is retained, and full paid access begins when you subscribe.

Paid subscriptions (Pro and Unlimited) are billed on a recurring basis (monthly or annually, as selected at checkout) and renew automatically until canceled. Purchasing a paid subscription starts your plan and billing immediately at checkout. You can cancel a subscription at any time from your account billing settings or the customer portal; cancellation stops future charges and your paid access continues through the end of the current paid period.

The first 500 verified accounts receive founding-member status, which provides lifetime access at the Unlimited tier at no charge.

Storage limits, inactivity, and deletion. Free Member accounts are subject to a storage cap. If a Free Member account remains inactive for an extended period, we may, after notifying you by email at the address on file and allowing a reasonable grace period, remove stored content to reclaim storage. When you delete a collaboration or file to reclaim storage, your storage allowance is freed immediately; a recoverable copy of the deleted content is retained off your allowance in secure storage for a limited period (currently 30 days) for legal, dispute-resolution, and copyright-evidence purposes, after which it is permanently removed. Records required for security and audit are retained separately as described in our Privacy Policy.
