Legal Notice
This SSR view mirrors the in-app Legal Notice (LegalNoticePage.tsx) verbatim for AI assistants and search crawlers. The in-app version at the live URL renders the same text with site styling. Keep the two in sync when either changes.
1. Platform Purpose and Scope
musiciansXchange ("the Service") is a collaboration platform that enables music creators to share audio files, discover collaborators, and work together on music projects. The Service provides tools for file sharing, version control, real-time communication, and project management.
2. What We Are Responsible For
- Providing a secure platform for storing and sharing audio files
- Maintaining audit trails of all file uploads, downloads, and access events for copyright protection
- Protecting your personal information in accordance with our Privacy Policy
- Processing account deletion requests in compliance with GDPR, CCPA, and applicable data protection laws
- Enforcing our Terms of Service to maintain a safe and fair environment
- Responding to valid legal requests, subpoenas, and law enforcement inquiries
- Notifying affected parties in the event of a data breach
3. What We Are Not Responsible For
- Ownership disputes between collaborators. musiciansXchange is a platform for collaboration, not a rights management authority. Disputes over ownership, royalties, or credits must be resolved between the parties involved.
- Content uploaded by users. Users are solely responsible for ensuring they have the right to upload and share any audio files, stems, or other content.
- Copyright infringement by users. While we maintain audit trails and respond to DMCA takedown requests, we do not proactively monitor content for infringement.
- Loss of data due to user-initiated actions. If you or a collaboration owner deletes content, we are not responsible for recovering that data after the retention period expires.
- Third-party integrations or linked content. External links provided by users (YouTube, SoundCloud, Spotify, etc.) are not under our control.
- The quality, accuracy, or legality of user-generated content including profiles, messages, and feedback.
4. Copyright Protection
musiciansXchange takes copyright protection seriously. The following measures are in place:
- Append-only audit logs: Every file download, play, and access event is permanently logged with timestamps, user identity, and IP address. Entries are never deleted — they persist even if the underlying content is later removed — and the personal identifiers within them are removed when an account is deleted.
- DMCA compliance: We respond to valid DMCA takedown notices and will remove infringing content promptly.
- Legal holds: When a copyright dispute or legal proceeding is identified, we can place a legal hold on any account or collaboration to preserve evidence, even if a deletion has been requested.
- Collaboration audit snapshots: Before any account or collaboration is deleted, a forensic snapshot of all metadata is preserved for legal purposes.
5. Data Retention Policy
When you request deletion of your account or a collaboration, the following process applies:
5.1 Account Deletion
- Your personal information (name, email, address, phone number) is immediately removed from public view and replaced with pseudonymized data.
- A secure pseudonym mapping is retained for 30 days to allow re-identification if a legal claim arises during that period.
- Your uploaded audio files remain on our servers for 30 days before permanent deletion.
- After 30 days, if no legal hold has been placed, all personal data and audio files are permanently and irreversibly destroyed.
- Collaborations you participated in remain accessible to other members, but your identity is anonymized (shown as "Deleted User").
- Audit logs of file downloads are retained permanently with your identity anonymized, as required for copyright protection.
5.2 Collaboration Deletion
- Only the owner of a collaboration can initiate its deletion.
- All participants are notified by email and given 30 days to download their own tracks.
- The collaboration is immediately archived and hidden from the platform.
- After 30 days, if no legal hold has been placed, all tracks, chat messages, and collaboration data are permanently destroyed.
5.3 Legal Holds
- Our legal team may place a hold on any pending deletion if there is a copyright dispute, legal proceeding, or law enforcement request.
- When a legal hold is placed, the 30-day deletion countdown is frozen.
- The affected user is notified that their deletion is on hold, but specific legal details may not be disclosed.
- When the hold is lifted, a new 30-day countdown begins before permanent deletion.
- This process complies with GDPR Article 17(3)(e), which permits data retention for the establishment, exercise, or defence of legal claims.
6. GDPR and CCPA Compliance
We comply with the European Union General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA). Your rights include:
- Right to access: You can export all your uploaded audio files at any time from your account settings.
- Right to erasure: You can request deletion of your account and personal data, subject to the retention policy above.
- Right to portability: Your audio files are stored in the format you uploaded (WAV, MP3, AIFF, FLAC, M4A, or AAC) and can be downloaded individually or as a bulk export.
- Right to rectification: You can update your personal information at any time through your profile settings.
- Right to restriction: We use pseudonymization during the retention period to restrict processing of your personal data while preserving it for legitimate legal purposes.
7. Limitation of Liability
To the maximum extent permitted by applicable law, musiciansXchange and its operators shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
- Loss of revenue, profits, data, or business opportunities
- Unauthorized access to or alteration of your content by third parties
- Any conduct or content of any third party on the Service, including copyright infringement by other users
- Service interruptions, downtime, or data loss due to technical failures
Our total liability for any claims arising from or related to the Service shall not exceed the amount you have paid to musiciansXchange in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.
8. Acceptable Use of Audio Content
You may upload and share only audio content that you originally created or for which you hold all necessary rights and licenses. The following uploads are strictly prohibited and may result in immediate account termination, content removal, and referral to rights holders:
- Unauthorized samples, loops, or stems sourced from copyrighted recordings
- Cover recordings of copyrighted compositions without proper mechanical licensing
- Stream-ripped audio extracted from streaming services (Spotify, Apple Music, YouTube Music, etc.)
- Pirated commercial recordings, leaked unreleased tracks, or content distributed without rights-holder consent
- Audio captured from films, TV shows, video games, or other protected works without license
- Any content used to enable copying, redistribution, or resale of third-party copyrighted material
musiciansXchange is a private collaboration tool — it is not a streaming service, not a download store, and not a digital marketplace. We do not facilitate the sale, licensing, or public distribution of user-uploaded audio. Users retain full ownership of their original work; the platform exists solely to support its creation.
9. DMCA Takedown Procedure
If you believe that content on musiciansXchange infringes your copyright, you may submit a DMCA takedown notice to our designated agent at legal@musiciansxchange.com. Your notice must include:
- Identification of the copyrighted work you claim has been infringed
- Identification of the infringing material and its location on the Service
- Your contact information (name, address, phone number, email)
- A statement that you have a good faith belief that the use is not authorized
- A statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner
- Your physical or electronic signature
